Terms of Service

These terms govern your use of Wootoshi's managed BTCPay Server hosting service. We have written them in plain language because we believe you should actually understand what you are agreeing to.

By using Wootoshi, you agree to these terms. If something here doesn't make sense, email us at hello@wootoshi.com and we will explain it.

What Wootoshi Does

Wootoshi provides managed BTCPay Server hosting and setup for businesses that want to accept Bitcoin payments. Depending on your plan, this includes:

  • BTCPay Server instance setup and configuration
  • Server hosting and maintenance
  • SSL certificate management
  • Lightning Network node setup and channel management
  • WooCommerce (and other platform) plugin integration
  • Wallet connection using your extended public key
  • Ongoing server updates and security patches

We manage the infrastructure. We do not manage your funds. See the non-custodial section below.

Non-Custodial Disclaimer

This is the most important section of these terms.

Wootoshi manages BTCPay Server infrastructure. BTCPay Server is non-custodial by design, which means:

  • Bitcoin payments from your customers go directly to your wallet, not ours.
  • We use your wallet's extended public key (xpub) to generate payment addresses. We never have access to your private keys.
  • We cannot access, move, spend, or freeze your funds under any circumstances.
  • You are solely responsible for the security of your wallet, private keys, and seed phrase.
  • If you lose access to your wallet or private keys, we cannot recover your funds. Nobody can.

Keep your private keys and seed phrase safe. Use a hardware wallet. We recommend Ledger, Trezor, or ColdCard.

Acceptable Use

Wootoshi is for legitimate businesses accepting Bitcoin payments. By using our service, you agree to:

  • Use the service only for lawful business purposes
  • Not use the service for any activity that is illegal in your jurisdiction
  • Not attempt to disrupt, overload, or compromise our infrastructure
  • Not resell or redistribute the service without our written permission
  • Provide accurate information when signing up

We reserve the right to suspend or terminate accounts that violate these terms. If we need to do this, we will give you reasonable notice and help you migrate your data wherever possible.

Payment Terms

  • Setup fees are non-refundable. Setup involves real work (provisioning servers, configuring software, connecting wallets, testing integrations). Once that work is done, we can't undo it.
  • Monthly billing. Subscriptions are billed monthly. Your billing cycle starts on the date your BTCPay Server instance is delivered and confirmed working.
  • Cancel anytime. There are no long-term contracts. You can cancel your subscription at the end of any billing period.
  • Price changes. If we need to change pricing, we will give you at least 30 days notice before the new price takes effect. You can cancel before the change if you don't agree with it.
  • Failed payments. If a payment fails, we will notify you and give you a reasonable window to resolve it before suspending the service.

Uptime and Availability

We take uptime seriously. Your BTCPay Server needs to be online for you to receive payments, and we understand that.

  • Tier 1 and Tier 2 plans: We provide best-effort uptime. We monitor all instances and respond to issues as quickly as we can, but we do not offer a formal SLA (Service Level Agreement) on these plans.
  • Enterprise plans: Enterprise customers receive a formal SLA with defined uptime guarantees and priority support. Contact us for details.

Scheduled maintenance will be communicated in advance. We do our best to perform maintenance during low-traffic hours.

Limitation of Liability

We will do our best to provide a reliable service, but we need to be honest about what we can and can't guarantee:

  • Wootoshi is provided "as is". We don't guarantee that the service will be uninterrupted or error-free at all times.
  • We are not responsible for lost funds due to wallet misconfiguration, lost private keys, or security breaches on your end.
  • We are not responsible for losses caused by Bitcoin price volatility, network congestion, or blockchain-level issues.
  • Our total liability to you is limited to the amount you have paid us in the 12 months preceding any claim.
  • We are not liable for indirect, incidental, or consequential damages.

We know these limitations are standard, but we want to be upfront about them rather than hiding them in dense paragraphs.

Service Modifications

We are actively developing and improving Wootoshi. From time to time we may:

  • Add new features or capabilities to the service
  • Update BTCPay Server to newer versions
  • Change the underlying infrastructure for performance or reliability reasons
  • Adjust pricing (with 30 days notice, as mentioned above)

We will always try to make changes that benefit you. If a change materially reduces the service you are paying for, we will offer you the option to cancel without penalty.

Termination

Either party can end this relationship:

  • You can cancel at any time by emailing hello@wootoshi.com or through your account dashboard. Your service will remain active until the end of your current billing period.
  • We can terminate your account if you violate these terms, fail to pay for an extended period, or if we need to discontinue the service entirely. We will give you as much notice as reasonably possible.

When your account is terminated (by either party), we will:

  • Help you export any data or configurations you need
  • Assist with migrating to a self-hosted BTCPay Server setup if you want
  • Keep your data for 30 days in case you need anything, then delete it

Your Bitcoin is always yours. Termination doesn't affect your funds in any way because we never had access to them in the first place.

Governing Law

These terms are a general-purpose agreement. Any disputes will be resolved in good faith through direct communication first. We are a small team and would much rather work things out over email than involve lawyers.

Changes to These Terms

If we make significant changes to these terms, we will notify you by email at least 30 days before they take effect. Continued use of the service after changes take effect constitutes acceptance of the updated terms.
